1. About the Company. Bidtostay (“Company”, “We”, “Our”) is a company registered under the laws of the United Arab Emirates, having situated its registered office address at Level 23 - Boulevard Plaza Tower 2, Emaar Boulevard, Dubai, UAE bearing CR # 852475. The Company through this website www.bidtostay.net or its mobile application or through any other medium (collectively referred as “Platform”) enables registered users (“Members”) and certain third parties who offer services (Members and third parties who offer services are “Hosts” and the services they offer are “Host Services”) to publish such Host Services on the Bidtostay (“Listings”) and to communicate and transact directly with Members that are seeking to book such Host Services (Members using Host Services are “Guests”). We do not trade with or provide any services to OFAC and sanctioned countries such as Iraq, North Korea, Sudan, Syria, etc.


  1. Acceptance of Terms. The services provided by us are subject to these terms and conditions of use (‘Terms’). These Terms shall apply to you when you visit our Platform to use our services or choose to browse the contents herein. Please read these Terms carefully before using the Services. By using this Platform, you agree to be bound by its terms of use and shall comply thereof. This Agreement describes and encompasses the entire agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Platform and the content provided by or through the Platform, and the subject matter of this Agreement. If you do not agree with these Terms in their entirety, you may not use the Services.


  1. Member Registration.
    1. You shall be at least eighteen years of age to register on the Platform as a Member in any category. If you are registering as an entity, shall be duly registered in your home country of the Guest and the country where your Hosts Services are located. To remain the member of the Platform you shall not only adhere to these terms but also legislation of the UAE and any other country where you are located.
    2. You can register yourself using email or social media logins such as google, Facebook or twitter. If you register using social media logins, your registration is also controlled by those third-party websites.
    3. The access to or use of certain areas and features of the Platform may be subject to separate policies, third party terms, standards or guidelines, or may require that you accept additional terms and conditions, before you can access the relevant areas or features of the Platform. If there is a conflict between these Terms and terms and conditions applicable to a specific area or feature of the Platform, the latter terms and conditions shall prevail.


  1. Account Registration.
    1. As a Host of Host Services, you are required to register yourself with the Platform in order to enable us your Host Services Listing.
    2. You can register yourself using email or social media logins such as google, facebook or twitter. If you register using social media logins, your registration is also controlled by those third-party websites.
    3. If you are registering your account as an entity, shall be duly registered in your home country of the Guest and the country where your Hosts Services are located. To remain the member of the Platform you shall not only adhere to these terms but also legislation of the UAE and any other country where you are located.
    4. We reserve sole right enable, disable or approve your registration on one or any of the Platform of bidtostay.


  1. We are not Seller. The Platform acts as a venue to allow Hosts to offer Host Services about at any time, from anywhere, in a variety of pricing formats. We are not involved in the actual transaction between Hosts and Guests. As a result, we have no control over the quality, safety or legality of the Hosts Services, the truth or accuracy of the listings, the ability of Hosts to sell Host Services or the ability of Guests to pay for Host Services. We cannot ensure that a Host or Guest will actually complete a transaction. The Guest shall himself ensure about the quality and genuineness of Host Services he is buying and shall also be responsible to pay any additional cost or any other tax, as may be applicable.


  1. Our Fees/Service Charge.
    1. All payments shall be in USD, AED or Euros.
    2. Registration on our portal is free of cost i.e. both Hosts and Guest may create their profile on the Website and access the listed services. We charge variable percentage based fees to the Guests for each successful stay. The fees shall be displayed in advance to the Guests while booking Host Services on the Platform. Except for the already booked stays, we may change the fees and charges or add new fees and charges at any time, without prior notice. You are responsible for any fees or charges incurred to access the Service through an Internet service provider or other third party service.
    3. All payments payable to hosts by the Guests are routed through us and we retain 10% (ten percentage) of each payment as transfer fees. Balance 90% (ninety percentage) is transferred to Hosts designated bank account.
    4. All charges payable by Guests to Hosts are first received by BidtoStay and transferred to Hosts only after successful delivery of service.
    5. We also charge a fee over and above the ask price to the Guest, as our Service Fee.
    6. Any of the fees charged by us shall be non-refundable in any case.


  1. Terms specific to hosts.
    1. If you are in UAE your property shall be duly registered with the RERA. In other case your property shall be registered with the appropriate authority. You shall be responsible to provide the ownership of the property and authentication from Dubai Land department or any other appropriate authority from your home country.
    2. You shall also possess a permit or licence to rent out the property.
    3. When creating a Listing through the Platform you must;
      1. provide complete and accurate information about your Host Service (such as listing description, location, and calendar availability),
      2. disclose any deficiencies, restrictions (such as house rules) and requirements that apply (such as any minimum age, proficiency or fitness requirements for an Experience) and
      3. Provide any other pertinent information requested by Platform. You are responsible for keeping your Listing information (including calendar availability) up-to-date at all times.
    4. The placement and ranking of Listings in search results on the Platform may vary and depend on a variety of factors, such as Guest search parameters and preferences, Host requirements, price and calendar availability, number and quality of Images, customer service and cancellation history, Reviews and Ratings, type of Host Service, and/or ease of booking. For more information about the factors that determine how your Listing appears in search results you can email us.
    5. You are also required to ensure that your listing on the Platform do not violate any terms or obligations to any third party.
    6. Any terms and conditions included in your Listing, in particular in relation to cancellations, must not conflict with these Terms or the relevant cancellation policy for your Listing.
    7. You are responsible for ensuring that the Accommodations you list on the Bid to Stay Platform meet minimum quality standards regarding access, adequacy of the Listing description, safety, cleanliness, and do not present a Guest with Travel Issues. During a Guest’s stay at an Accommodation, Hosts should be available, or make a third-party available, in order to try, in good faith, to resolve any Guest issues.
    8. If you are a Host, and if;
      1. Bid to Stay determines that a Guest has suffered a Travel Issue related to an Accommodation listed by you; and
      2. Bid to Stay either reimburses that Guest (up to their Total Fees) or provides an alternative Accommodation to the Guest, you agree to reimburse Bid to Stay up to the amount paid by Bid to Stay within 30 days of Bid to Stay’s request. If the Guest is relocated to an alternative Accommodation, you also agree to reimburse Bid to stay for reasonable additional costs incurred to relocate the Guest. You authorize Bid to Stay Payments to collect any amounts owed to Bid to stay by reducing your Payout or as otherwise permitted pursuant to the Payments Terms.
      3. Bid to stay have the right to cancel the registration for the host if the host keep cancelling confirmed booking
    9. You understand that the rights of Guests under this Guest Refund Policy will supersede your selected cancellation policy. If you dispute the Travel Issue, you may notify us in writing or via telephone and provide us with information (including photographs or other evidence) disputing the claims regarding the Travel Issue, provided you must have used reasonable and good faith efforts to try to remedy the Travel Issue with the Guest prior to disputing the Travel Issue claim.


  1. Terms specific to guests.
    1. Subject to meeting any requirements (such as completing any verification processes) set by us and/or the Host, you can book a Listing available on the Platform by following the respective booking process. All applicable fees, including the Listing Fee, Security Deposit (if applicable), Guest Fee and any applicable Taxes (collectively, “Total Fees”) will be presented to you prior to booking a Listing. You agree to pay the Total Fees for any booking requested in connection with your Account.
    2. Once you book Host Services you and the Host are into legal agreement to receive services and make payment to Host for the services. Your agreement shall apart from these term shall also be attracting compliance with UAE laws.
    3. Your booking for the Hosts services give you limited licence to use the accommodation. You shall be responsible to use the accommodation in diligent manner without affecting any harm or damage to the tangible or intangible property of the Host.
    4. Guests shall carry hard copy of their travel voucher before visiting the Host services.
    5. You agree to leave the Accommodation no later than the checkout time that the Host specifies in the Listing or such other time as mutually agreed upon between you and the Host. If you stay past the agreed upon checkout time without the Host's consent (“Overstay”), you no longer have a license to stay in the Accommodation and the Host is entitled to make you leave in a manner consistent with applicable law. In addition, you agree to pay, if requested by the Host, for each twenty-four (24) hour period (or any portion thereof) that you Overstay, an additional nightly fee as mutually agreed by you and host. We shall not have any involvement in such transaction in any manner. If you overstay at an Accommodation, you authorize us via our payment gateway partner to charge you to collect Overstay Fees. A Security Deposit, if required by a Host, may be applied to any Overstay Fees due for a Guest’s Overstay.


  1. Travel Issue. A “Travel Issue” means any one of the following:
    1. The Host of the Accommodation (i) cancels a booking shortly before the scheduled start of the booking, or (ii) fails to provide the Guest with the reasonable ability to access the Accommodation (e.g. does not provide the keys and/or a security code).
    2. the Listing’s description or depiction of the Accommodation is materially inaccurate with respect to:
      1. the size of the Accommodation (e.g., number and size of the bedroom, bathroom and/or kitchen or other rooms),
      2. whether the booking for the Accommodation is for an entire home, private room or shared room, and whether another party, including the Host, is staying at the Accommodation during the booking,
      3. special amenities or features represented in the Listing are not provided or do not function, such as decks, pools, hot tubs, bathrooms (toilet/shower/bathtub), kitchen (sink/stove/refrigerator or major other appliances), and electrical, heating or air condition systems, or
      4. The physical location of the Accommodation (proximity).
    3. at the start of the Guest’s booking, the Accommodation:
      1. is not generally clean and hygienic,
      2. contains safety or health hazards that would be reasonably expected to adversely affect the Guest’s stay at the Accommodation in Bid to Stay’s judgment,
      3. does not contain clean bedding and bathroom towels available for the Guest’s use, or
      4. Has vermin or contains pets not disclosed in the Listing.


  1. Guest Refund and Cancellation Policy.
    1. If you are a Guest and suffer a Travel Issue, we agree, at our discretion, to either (i) reimburse you up to the amount paid by you through the Bid to Stay Platform (“Total Fees”) depending on the nature of the Travel Issue suffered, or (ii) use our reasonable efforts to find and book you another accommodation for any unused nights left in your booking which is reasonably comparable to the accommodation described in your original booking in terms of size, rooms, features and quality. All determinations of Bid to Stay with respect to the Guest Refund Policy, including without limitation the size of any refund and the comparability of alternate Accommodations, shall be in Bid to Stay’s discretion, and final and binding on the Guests and Hosts.
    2. The cancellation and replacement fees due to any other reason shall be issued on below conditions;

  1. Your refund shall be processed in 10-45 days.


  1. Conditions to Claim a Refund under Travel Issue. To submit a valid claim for a Travel Issue and receive the benefits with respect to your booking, you are required to meet each of the following conditions:
    1. you must be the Guest that booked the Accommodation;
    2. you must bring the Travel Issue to our attention in writing or via telephone and provide us with information (including photographs or other evidence) about the Accommodation and the circumstances of the Travel Issue within 24 hours after the later of;
      1. the start of your booking, or
      2. you discover the existence of the Travel Issue, and must respond to any requests by us for additional information or cooperation on the Travel Issue;
    3. you must not have directly or indirectly caused the Travel Issue (through your action, omission or negligence); and
    4. Unless Bid to Stay advises you that the Travel Issue cannot be remediated, you must have used reasonable efforts to try to remedy the circumstances of the Travel Issue with the Host prior to making a claim for a Travel Issue.


  1. Host Compensation Policy. The host can be compensated up to 15000 UAE dirhams if he proves through a police report that his real state was affected during a stay of one of Guests.


  1. We guarantee 99% of uptime. The 1% we cannot guarantee lies on the fact that the Internet may be unavailable itself, or unexpected technical issues may occur and such issues may be outside of our control. In case such downtime occurs, no financial compensation may be granted, in any form. We may make the Service unavailable from time to time for maintenance, without prior notice. If a server doesn't respond, our customer service staff get immediately notified by SMS or email and will do everything in their power to fix the problem as soon as possible.


  1. When you use the Platform or send emails or other data, information or communication to us, you agree and understand that you are communicating with us through electronic records and you consent to receive communications via electronic records from Platform periodically, as and when required. We may communicate with you by email, SMS, telephone or by such other mode of communication, electronic or otherwise. Your use of the Platform entitles you to receive periodic communication regarding our services through email, SMS, telephone or by such other mode of communication, electronic or otherwise. If you wish to not receive periodic informational communication from us, you can unsubscribe to the communication through your account settings.


  1. Intellectual Property Rights. All material on this site posted by us and not by the Owner, including images, illustrations, graphics, utility models, designs, know-how, trade secrets and inventions (patent pending), goodwill, source code, meta tags, databases, text, content, icons, and hyperlinks, are protected by copyrights, trademarks are owned and controlled by us unless otherwise noted. You agree to not use, copy, reproduce, republish, or distribute any content from the website in any way directly or indirectly without prior written authorization from us. You shall be solely responsible for compliance with applicable Intellectual Property Laws for the content and artwork you have posted on the Platform, and the company is not in any case shall be accountable for any non-compliance.


  1. Joint and Several. To the extent permitted by law, if you as a Member consists of one or more persons, these Terms bind such persons and their respective executors, administrators, successors and permitted assigns jointly and severally and this terms must be read and construed accordingly.


  1. Law and Approvals
    1. You must comply with all Legislative Requirements, including the Amendments in requirement occurred during your membership period and approvals in carrying out the Host Services.
    2. The Property Owner must obtain the approvals, if any, required as per local laws and laws of UAE.


  1. Limitation of Liability
    1. In no event shall either party be liable to the other for any indirect, special, exemplary or consequential damages, including anyimpliedwarrantyofmerchantabilityorfitnessforaparticular purpose or implied warranties arising from course of dealing or course of performance, lost profits, whether or not foreseeable or alleged to be based onbreach of warranty, contract,negligenceor strictliability, arising under these terms, loss of data, or any performance under these terms, even if such party has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy provided herein.
    2. The maximum remedy available to either party is any amount paid to Hosts hereunder.
    3. We makes no warranty of any kind, whether express or implied, with regard to any third party products or services, third party content or any software, equipment, or hardware obtained from third parties.


    1. You agree to make a good-faith effort to resolve any disagreement arising out of, or in connection with, these Terms through negotiation.
    2. These terms shall be governed in accordance with the laws of the United Arab Emirates. All disputes under these terms shall be resolved by litigation in the Jurisdiction of UAE therein and the Parties all consent to the jurisdiction of such courts, agree to accept service of process by mail, and hereby waive any jurisdictional or venue defences otherwise available to it.


  1. Waiver. No waiver by either party of any default shall be deemed as a waiver of prior or subsequent default of the same of other provisions of these terms.


  1. Severability. If any term, clause or provision hereof is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause or provision and such invalid term, clause or provision shall be deemed to be severed from these terms.


  1. Duly Authorised Representatives. If this Terms are executed, then each Party warrants that their representative whose signature appears on such signature pages is the duly authorized by all necessary and appropriate corporate actions to execute this Agreement to Terms.


  1. No Assignment/No Insurance. Our policy and assurances are not intended to constitute an offer to insure, does not constitute insurance or an insurance contract, does not take the place of insurance obtained or obtainable by the Guest, and the Guest has not paid any premium. The benefits provided under this Guest Refund Policy are not assignable or transferable by you.


  1. Modification or Termination. Bid to Stay reserves the right to modify or terminate any clause of these terms, at any time, in its sole discretion. If Bid to Stay modifies these Terms, we will post the modification on the Bid to Stay Platform or provide you with notice of the modification. However, Bid to Stay will continue to process all claims for Travel Issues made prior to the effective date of the modification.


  1. Entire Agreement. These Terms constitutes the entire and exclusive understanding and agreement between Bid to Stay and you and supersedes and replaces any and all prior oral or written understandings or agreements between Bid to Stay and you regarding the Terms.
